2. Services

2.2 All services will be provided in a professional and timely manner, adhering to industry standards.

3. Client Responsibilities
3.1 You agree to provide necessary information, materials, and approvals required for the completion of services within agreed-upon timelines.

3.2 Timely responses and feedback from you are essential for the progress of the services. Delays caused by the client may affect project timelines.

4. Fees and Payment
4.1 The fees for services will be outlined in the proposal or agreement. Payment terms, including deposits, milestone payments, and final payments, will be clearly specified.

4.2 Invoices will be issued according to the agreed-upon payment schedule. Payments are due within 3 days of the invoice date unless otherwise stated.

4.3 Failure to make timely payments may result in project delays or suspension of services.

5. Intellectual Property
5.1 Any pre-existing intellectual property remains the property of the respective owner.

5.2 Upon full payment, the client will own the intellectual property rights to the finalized website and any agreed-upon marketing materials developed specifically for the client.

6. Confidentiality
6.1 Both parties agree to keep confidential information disclosed during the project confidential, except where required by law.

7. Termination
7.1 Either party may terminate the agreement if the other party breaches any material term and fails to remedy the breach within a specified period.

7.2 Termination by the client may incur fees for work completed up to the termination date.

8. Limitation of Liability
8.1 Our liability for any damages arising from our services is limited to the fees paid by you for those services.

9. Governing Law
9.1 These terms and conditions are governed by the laws of State of Florida. Any disputes arising will be subject to the exclusive jurisdiction of the courts in Florida.

10. Modifications
10.1 We reserve the right to modify these terms and conditions at any time. Any changes will be communicated to you and will be effective upon posting.
